I have spent many hours trying to get the iou licence to work. In the end it was simple.
The problem was the licence file I was using was iouc.txt (as downloaded from another thread)
You need to save the file using notepad++ (Or I think notepad too) or similar as file type *.*
(i.e no .txt)
The only thing in the file is between these lines.

Also the link to the licence is on the gns3 machine, in my case on windows G:\mycomputer\gns3\cisco iou\iourc
- as opposed to the iou image which you will upload via the web browser to the iou VM.
I followed these instructions http://members.gns3.net/thanks-for-downloading/(note, you need to start the VM with the network adaptor as "bridged" do the updates and then stop the VM and change the network adapter to host-only.
(At this point you can upload the image via the browser)
Also when you start the VM I think it only shows the ip address to upload (eg.
http://192.168.56.102:8000/upload) the second time you start it in host-only mode.
You can also see the ip address by using ifconfig on the first boot up.
I also had a problem as the image I was using seemed not to work although I did not know this and i thought it was the licence. -The process would freeze when superputty was launched.
these 2 images worked although I have not started using them properly at least I know everything else is lined up.
